Terms of Service

Please read these Terms of Service carefully before using the Thrml platform. By accessing or using our services, you agree to be bound by these terms. 1. About Thrml Thrml ("we," "us," or "our") operates an online peer-to-peer marketplace that connects independent wellness space owners ("Hosts") with individuals seeking access to private wellness experiences ("Guests"), including but not limited to saunas, cold plunge tubs, infrared light therapy, float tanks, contrast therapy, PEMF therapy, hyperbaric chambers, and halotherapy spaces. Thrml is a technology platform and marketing service - we do not own, operate, manage, or control any of the wellness spaces listed on our platform. 2. Acceptance of Terms By creating an account, listing a space, making a booking, or otherwise using the Thrml platform, website, or mobile application, you confirm that you have read, understood, and agree to these Terms of Service, our Privacy Policy, and any additional guidelines or policies posted on the platform. If you do not agree, you must not use the platform. These Terms apply to all users, including Guests, Hosts, and visitors. 3. Eligibility You must be at least 18 years of age to use the Thrml platform. By using our services you represent and warrant that: You are at least 18 years old You have the legal capacity to enter into a binding contract You are not prohibited from using the platform under applicable law All information you provide is accurate and current 4. The Thrml Platform - Marketplace Role Thrml provides technology infrastructure, booking tools, payment processing facilitation, and marketing services. Thrml acts solely as a marketplace intermediary and is not a party to any agreement between a Host and a Guest. Specifically: Thrml does not own, manage, or inspect any listed wellness spaces Thrml does not employ Hosts and is not responsible for their conduct Thrml does not guarantee the quality, safety, suitability, or legality of any listing Thrml is not responsible for any personal injury, property damage, or loss arising from a booking The contract for the provision of a wellness experience is formed directly between the Host and Guest. Thrml's role is limited to facilitating the transaction and providing platform services. 5. Host Terms 5.1 Listing Requirements By creating a listing on Thrml, Hosts represent and warrant that: You have the legal right to offer the described space and services The space complies with all applicable local, state, and federal laws, permits, and zoning requirements All descriptions, photos, amenities, pricing, and availability are accurate and not misleading You maintain any required business licenses, health permits, or certifications The space is safe, clean, and properly maintained at all times You will provide the agreed access code or entry method to confirmed Guests 5.2 Host Responsibilities Hosts are solely responsible for: The safety and condition of their wellness space Compliance with applicable health, safety, and zoning regulations Maintaining appropriate insurance coverage for hosted activities Responding to Guest inquiries and messages in a timely manner Honoring confirmed bookings Managing their own tax obligations arising from hosting income 5.3 Prohibited Listings Hosts may not list spaces that: Are not legally owned or authorized for short-term rental or hosting Contain false, misleading, or inaccurate information Violate any applicable law or regulation Present known health or safety hazards 5.4 Host Payouts Hosts receive payment through Stripe Connect. Thrml retains a platform service fee from each transaction. Hosts are responsible for completing Stripe's identity verification and onboarding requirements before receiving payouts. Thrml is not responsible for delays caused by Stripe's verification processes or banking systems. 6. Guest Terms 6.1 Booking and Access By making a booking, Guests agree to: Use the wellness space only for its stated purpose and within the booked time window Treat the space and any equipment with care and respect Follow all Host-provided instructions, protocols, and access requirements Arrive and depart within the booked time slot Not exceed the stated maximum guest capacity Not bring unauthorized guests 6.2 Health Responsibility Guests acknowledge that wellness modalities such as sauna, cold plunge, infrared therapy, float tanks, hyperbaric oxygen therapy, and related services carry inherent physical risks. By booking through Thrml, Guests represent that they: Are in suitable physical health to participate in the selected wellness activity Have consulted a licensed medical professional if they have any health conditions, are pregnant, or have concerns about participation Assume full personal responsibility for any health-related outcomes See the Disclaimers section of this document for further detail. 6.3 Property Damage Guests are responsible for any damage caused to a Host's space or equipment during their booking. Thrml reserves the right to charge the Guest's payment method on file for documented damages reported by the Host. 7. Payments, Fees, and Refunds 7.1 Pricing Pricing is set by Hosts and displayed on each listing. Thrml adds a platform service fee at checkout which is shown transparently before payment is confirmed. 7.2 Payment Processing All payments are processed through Stripe. By making a payment you agree to Stripe's Terms of Service. Thrml does not store credit card information. 7.3 Cancellations and Refunds Cancellation and refund terms are determined by the Host's cancellation policy displayed on each listing. Thrml's general platform policy is: Cancellations made more than 48 hours before the session start time: full refund minus platform service fee Cancellations made within 48 hours of the session start time: no refund unless the Host cancels Host cancellations: full refund to Guest including platform service fee Thrml reserves the right to issue refunds at its discretion in cases of documented safety concerns, Host non-compliance, or platform error. 8. Access Codes and Keyless Entry Where a listing uses access codes for entry, Thrml provides an automatically generated access code to the Guest upon booking confirmation. Guests must: Keep access codes confidential and not share them with unauthorized individuals Use access codes only for the booked session window Report any access issues to the Host immediately Thrml is not responsible for access issues arising from Host-side technical failures, lock malfunctions, or code errors beyond our platform controls. 9. Marketing and Social Media Promotion As part of Thrml's marketplace services, we may promote Host listings across Thrml's owned social media channels, email marketing, and digital advertising at our discretion. By listing on Thrml, Hosts grant Thrml a non-exclusive, royalty-free license to use listing photos, descriptions, and associated content for marketing purposes on behalf of the Host. Hosts may opt out of social media promotion by contacting legal@usethermal.com. Thrml does not guarantee any specific level of marketing exposure, bookings generated, or revenue from promotional activities. 10. Reviews Thrml allows Guests to submit reviews of Host spaces after a completed booking. By submitting a review, you agree that: The review is based on your genuine first-hand experience The review does not contain false, defamatory, or misleading statements You grant Thrml the right to display and moderate the review Thrml reserves the right to remove reviews that violate these terms or our community guidelines. 11. Intellectual Property The Thrml name, logo, platform design, and proprietary technology are owned by Thrml and protected by applicable intellectual property laws. You may not use our brand assets, copy our platform design, or reproduce our content without prior written permission. Host-submitted content (photos, descriptions) remains owned by the Host. Hosts grant Thrml a license to use this content as described in Section 9. 12. Prohibited Conduct Users of the Thrml platform may not: Circumvent the platform by arranging bookings directly with Hosts or Guests to avoid platform fees Submit false, fraudulent, or misleading information Use the platform for any unlawful purpose Harass, threaten, or harm other users Attempt to reverse engineer, scrape, or interfere with the platform Create multiple accounts for deceptive purposes 13. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THERMAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, ANY BOOKING, OR ANY WELLNESS ACTIVITY, EVEN IF THERMAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Thrml's total aggregate liability to any user for any claim arising out of or related to these Terms or use of the platform shall not exceed the greater of (a) the total fees paid by you to Thrml in the twelve months preceding the claim, or (b) one hundred US dollars ($100). 14. Indemnification You agree to indemnify, defend, and hold harmless Thrml and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the platform; (b) your listing or booking of a wellness space; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights. 15. Dispute Resolution Any disputes arising out of or relating to these Terms or the Thrml platform shall first be addressed through good faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in Washington. You waive any right to a jury trial or class action proceeding. 16. Governing Law These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to conflict of law principles. 17. Modifications Thrml reserves the right to modify these Terms at any time. We will notify users of material changes via email or prominent notice on the platform. Continued use of the platform after changes are posted constitutes acceptance of the revised Terms. 18. Termination Thrml reserves the right to suspend or terminate any user account at its sole discretion, with or without notice, for violations of these Terms or conduct deemed harmful to the platform or its users. 19.
